Confidentiality Agreement Explanation

We use a standard non-disclosure agreement with all of our engagements. We require buyers to sign this agreement to ensure that confidential, proprietary or non-public information regarding the business for sale, will remain secret and is only used for the evaluation of a deal.

During the M&A process, there is a lot of information released about the business:

  1. Financial
  2. Suppliers
  3. Customers
  4. Employees

It is clear that businesses would not want to share this highly sensitive information without safeguards in place. This agreement only protects information that is non-public or proprietary.
